NOTICE OF GENERAL ASSEMBLY MEETING

Notice is hereby given that the General Assembly meeting of Members of the Organization of Istanbul Armenians will be held at the headquarters of the Organization of Istanbul Armenians, (see address below) Friday, February 27,2004, starting at 7:00 P.M. If there is no quorum of members, then the meeting will be adjourned to 8:30 P.M. on the same day (February 27,2004) the number of members present at this adjourned meeting will constitute the required quorum as defined by the Bylaws for the OIA.

Electing OIA Directors and approval of Budgets require the affirmative vote of majority of quorum of members present in person or represented by proxy.

The Board of directors has voted to increase the number of Directors from nine (9) to eleven (11). There are seven (7) vacancies on the Board, which will be filled by way of an election that will be held during this General Assembly Meeting.

Pursuant to Article 4,Section 9 of OIA Bylaws members entitled to vote may cast their votes by way of a written proxy. In the event that you will not be able to attend the meeting you may use the proxy procedure to have a voting member of OIA act as your representative and cast your vote.
